IPO bound Meesho in arbitration with Amazon Web Services over ₹127 cr cloud service dues

Mumbai: E-commerce unicorn Meesho is locked in a legal dispute with Amazon Web Services (AWS) India, one of its major technology vendors, over alleged non-payment of cloud service dues.

According to Meesho’s draft red herring prospectus (DRHP), AWS initiated arbitration proceedings before a three-member tribunal in New Delhi under the Arbitration and Conciliation Act, 1996, citing unpaid dues linked to a Private Pricing Addendum (PPA) signed in February 2022, Moneycontrol reported.

AWS has claimed ₹127.45 crore ($14.44 million) from Meesho, covering the “spend commitment shortfall payment amount, pending service fees, interest on the respective payments and the cost of arbitration.”

How has Meesho responded?

Meesho has contested the invoices, alleging “deficiencies in the services provided by AWS,” and has questioned the validity of the PPA’s minimum commitment clause.

In a counterclaim filed on January 31, the Bengaluru-based startup sought ₹86.49 crore in damages, citing business losses “due to disruption of business and inadequate support provided by AWS, salary costs incurred due to migration from services procured from AWS, along with interest and costs.”

AWS filed its reply in March, and the matter is currently pending before the arbitral tribunal.

Why this matters for Meesho

The dispute underscores Meesho’s dependence on cloud infrastructure for its value-commerce operations — spanning order fulfilment, payments, and product recommendation systems.

Any friction with a key cloud service provider like AWS could affect operational continuity and costs for a company that processed 1.59 billion orders in FY25.

Meesho’s DRHP also reveals plans to earmark ₹1,390 crore from its ₹4,250-crore IPO proceeds to strengthen its technology and cloud backbone — a move that signals its intent to diversify and fortify its digital infrastructure.

What else is on Meesho’s litigation list?

The AWS arbitration adds to Meesho’s widening legal docket, which includes tax and vendor-related cases amounting to over ₹710 crore, among them a ₹572-crore income tax claim.

Despite these challenges, Meesho remains cash-flow positive and among India’s fastest-growing e-commerce firms.

However, such legal proceedings could become significant due diligence factors for investors ahead of what is anticipated to be one of India’s largest tech IPOs in 2026.
